Cash Investment Memorandum
To Whom It May Concern:
RBI Pictures, LLC is seeking funding in the form of an investment for the purpose of producing and distributing a motion picture for worldwide distribution. RBI Pictures, LLC is a California Limited Liability Company.
“SPRINKLE THE INFIELD” is a family motion picture ready to begin production immediately.
Cash Investment Equity:
RBI Pictures, LLC is prepared to offer an Investor(s) 50% of 100% of the adjusted Producer’s gross* income from worldwide distribution and exploitation of the motion picture and ancillary rights.
The Producer will also arrange for a Stand-By Letter of Credit, if needed, as collateral on a production loan, or if the Investor prefers to use his/her bank or other institution as a method of investment through a SLC, the producers have included bank costs, first year interest and other related fees within the existing budget
The total investment shall be recouped by the Investor(s), or in the case of a Letter of Credit, the total loan plus interest shall be paid in full to the lending institution prior to any distribution of profits from worldwide exploitation of the film. The Producer shall be responsible for any points assigned to any actors or crew members.

Seed Investors:
There are two seed investors who have provided the development dollars and their points equal 5% of 100%. Mik Scriba presently has 45% and the points to crew and cast will come out of these points.
The amount of return on the investment proposed in this project is based on revenue from 100% of the worldwide Producer’s adjusted gross* income after taxes and administration fees to include, but not limited to, theatrical release, pay-per-view, cable pay television, network television, all other forms of pay-per-view, video, cell phone and DVD release and merchandising, including CD and board games, as well as character figures. Investment funds will be used to produce and distribute the motion picture “SPRINKLE THE INFIELD” worldwide.
RBI PICTURES, LLC, has zero debt, over $5,000.00 cash on hand.
*Adjusted Producer’s gross participation is the income after distribution costs and taxes derived from worldwide exploration of the motion picture in all medium now known or unknown into perpetuity
